TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between you and Maylay Sports Inc. ("Maylay," "we," "us," or "our"), the operator of the Maylay mobile application and related services (collectively, the "Service"). By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the Service.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

1. Definitions

• "App" means the Maylay mobile application available on iOS and Android.

• "Content" means any text, images, video, audio, profile data, game posts, chat messages, or other material submitted to, published on, or transmitted through the Service.

• "User" or "you" means any individual who creates an account or accesses the Service.

• "Game" or "Pickup Game" means any in-person or virtual sports event created, listed, or organized through the Service.

• "Match" or "Partner" means another User identified by the Service as a potential playing partner.

2. Acceptance of Terms

By downloading the App, creating an account, or using any feature of the Service, you represent that:

• You have read, understood, and agree to these Terms;

• You meet the eligibility requirements in Section 3;

• You have the legal capacity to enter into a binding contract; and

• If you are accepting these Terms on behalf of an organization, you have authority to bind that organization.

Your continued use of the Service after we post updated Terms constitutes acceptance of those changes, subject to the notice period in Section 26.

3. Eligibility

Minimum Age. You must be at least 18 years old to create an account or use the Service. We do not knowingly collect personal information from anyone under 18. If we learn that a user is under 18, we will immediately suspend and delete that account. Report concerns to support@maylay.org.

Geographic Restrictions. The Service is intended for use in the United States.

Accurate Information. You represent that all registration information you provide is truthful, accurate, current, and complete.

4. Account Registration and Security

You agree to provide accurate registration information. You may not create more than one account. You are solely responsible for maintaining the confidentiality of your login credentials and all activity under your account. Your account may not be sold, transferred, or licensed to any third party.

5. Community Standards and Prohibited Conduct

You agree not to use the Service to:

• Harmful Conduct — Harass, bully, threaten, stalk, or abuse any User; post defamatory, obscene, sexually explicit, hateful, or violent content; or impersonate any person.

• Violence — Organize fights, violent encounters, or any unsafe or reckless event.

• Fraudulent Activity — Post fake games, fraudulent training camps, or fictitious events; collect payment for events you do not intend to host; misrepresent products or equipment for sale or trade; or use the platform for unauthorized commercial transactions or spam.

• Illegal Activity — Facilitate illegal activity, sell drugs or illegal substances, arrange sexually explicit or unlawful gatherings, or upload infringing content.

• Platform Abuse — Use bots or scrapers, attempt unauthorized access to accounts or systems, circumvent or interfere with security features, or post content designed to game algorithmic rankings.

Violations may result in immediate account suspension or permanent termination without notice. We may report violations to law enforcement.

6. Nature of the Service

Maylay is solely a technology platform that connects individuals interested in participating in pickup sports activities. Maylay:

• Does NOT organize, supervise, operate, sponsor, host, or control any games, matches, leagues, tournaments, or events.

• Does NOT provide referees, officials, coaches, trainers, security personnel, or medical staff.

• Does NOT provide equipment or facilities.

• Does NOT guarantee the safety, conduct, identity, background, or skill level of any User.

All activities arranged through Maylay are independently organized and voluntarily attended by Users. Your decision to participate is entirely your own. We do not conduct background checks or identity verification beyond self-reporting.

7. Safety Disclaimer and Assumption of Risk

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You acknowledge that sports and recreational activities involve inherent and significant risks, including but not limited to:

• Bodily injury (minor or severe)

• Concussions and traumatic brain injuries

• Sprains, fractures, and broken bones

• Paralysis

• Heat stroke or dehydration

• Permanent disability

• Emotional distress

• Property damage

• Death

You further acknowledge risks arising from:

• Negligence or misconduct of other participants

• Unsafe or poorly maintained facilities

• Lack of supervision

• Improper or defective equipment

• Physical contact with other participants

• Weather conditions

• Transportation to and from events

• Criminal, reckless, or harmful acts of third parties

You voluntarily and knowingly assume ALL risks associated with any activity, game, or interaction arranged through the Service. You are solely responsible for exercising your own safety judgment. We strongly encourage meeting new partners in public places and taking appropriate safety precautions.

8. Equipment and Personal Responsibility

You agree that:

• You are solely responsible for bringing and using proper, sport-appropriate equipment.

• You will inspect all facilities and equipment before use.

• You will not participate while impaired by drugs or alcohol.

• You will not participate if you have a medical condition that makes participation unsafe.

• You are solely responsible for determining your physical fitness and capability.

• Maylay makes NO representations or warranties regarding safety conditions.

9. Release and Waiver of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE MAYLAY SPORTS INC., ITS FOUNDERS, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (THE "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, OR EXPENSES ARISING OUT OF OR RELATED TO:

• Personal injury

• Death

• Property damage

• Emotional distress

• Assaults or fights between Users

• Negligent acts or omissions

• Third-party conduct

• Use of the Service

• Participation in any activity arranged through the Service

This release applies whether caused by negligence or otherwise, except where prohibited by law.

10. Covenant Not to Sue

You expressly agree that you will NOT file any lawsuit, claim, or legal proceeding against Maylay or the Released Parties for any injury, loss, or damage arising from participation in any activity arranged through the Service, except as permitted under Section 24 (Dispute Resolution).

11. Medical Disclaimer

Maylay does not provide medical advice. You are solely responsible for consulting a licensed physician before engaging in physical activity.

12. Transportation Disclaimer

Maylay is not responsible for transportation arrangements, ridesharing, or travel to and from events.

13. No Duty to Monitor

Maylay has no obligation to monitor Users, events, or communications. We reserve the right — but not the duty — to remove Users or Content at our discretion.

14. User Content

You retain ownership of all original Content you submit. By submitting Content, you grant Maylay Sports Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, display, and distribute that Content solely for operating and promoting the Service.

You represent and warrant that your Content does not infringe any third-party rights and complies with these Terms and all applicable laws.

This license ends when you delete the Content or your account, except that: (a) messages you sent to other Users remain in their chat threads, stripped of your identifying information; and (b) Content may persist in residual encrypted backups for up to 90 days, as described in our Privacy Policy.

15. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. You can open the Privacy Policy from the link on this screen, or in the App under About > Privacy Policy.

By using the Service, you consent to the collection and use of your information as described there, including location data, profile information, photos, device identifiers, video/audio data (processed by Agora, Inc.), and crash data (processed by Sentry, Inc.).

You acknowledge that if you grant the App location permission, your exact location is shared with other signed-in Users by default, together with your availability status, the sports you are open to playing, and any status note you write, as described in the Privacy Policy. Your pin on the in-app player map is drawn at an approximate position offset by up to 0.1 miles, but your exact coordinates are shared to power the map and distance features. You may remove yourself from the player map at any time using the "Show me on the player map" switch on your Profile tab.

16. Third-Party Services

The Service integrates with Supabase, Agora, Sentry, and Expo/React Native. Your use of those services is subject to their own terms. We are not responsible for their content or practices.

17. In-App Purchases and Payments

If the Service offers paid features, purchases are processed by Apple or Google under their respective payment terms and refund policies. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the billing period through your Apple ID or Google Play account settings.

18. Maylay Intellectual Property

All rights in the Service remain the exclusive property of Maylay Sports Inc. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App on your personal device for personal, non-commercial use only.

19. DMCA Policy

To report copyright infringement, send written notice to support@maylay.org with the subject "DMCA Takedown Request" including your signature, identification of the infringed work and infringing content, your contact information, a good-faith belief statement, and a statement under penalty of perjury as to accuracy.

20. Account Termination and Deletion

You may delete your account via Settings > Account > Delete Account or by emailing support@maylay.org. We may terminate accounts for violations, harmful conduct, extended inactivity, or fraud.

Upon deletion, your personal data will be deleted within 30 days and residual encrypted backups within 90 days, except where retention is required by law. Accounts inactive for 24 months or more are automatically purged.

21. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MAYLAY SPORTS INC. DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAYLAY SPORTS INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS OR $100.00.

WE ARE NOT LIABLE FOR ANY INJURY, HARM, OR LOSS ARISING FROM IN-PERSON MEETINGS OR ATHLETIC ACTIVITIES ARRANGED THROUGH THE SERVICE, OR FROM THE CONDUCT OF ANY USER.

23. Indemnification

You agree to defend, indemnify, and hold harmless Maylay Sports Inc. and the Released Parties from all claims, lawsuits, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Content, your conduct toward other Users, any event you organize, your violation of these Terms, or your participation in any in-person activity arranged through the Service.

24. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ CAREFULLY — THIS WAIVES YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION.

Disputes must first be submitted informally to support@maylay.org for a 30-day resolution period. Unresolved disputes will be settled by binding individual arbitration administered by JAMS in Los Angeles County, California, under the JAMS Consumer Minimum Standards and Streamlined Arbitration Rules and Procedures.

YOU MAY ONLY BRING CLAIMS IN AN INDIVIDUAL CAPACITY, NOT AS PART OF A CLASS ACTION. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@maylay.org.

25. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law provisions. Non-arbitrated disputes are subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

26. Changes to These Terms

We will notify you of material changes to these Terms via in-app notice or email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may delete your account before the effective date.

27. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

28. Platform-Specific Terms

Apple. Apple is not a party to these Terms and bears no responsibility for the App. Maylay Sports Inc. is solely responsible for maintenance, support, warranties, product claims, and IP infringement claims. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS version of the App and may enforce them against you.

Google. Google is not a party to these Terms and bears no responsibility for the App. Your use of the Android version obtained through Google Play is additionally subject to the Google Play Terms of Service.

29. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Maylay and supersede all prior agreements, including any previously accepted liability waiver. Notices may be sent to support@maylay.org. You may not assign your rights under these Terms; we may assign ours freely. Our failure to enforce any provision is not a waiver of it.

30. Acknowledgment

By creating an account, tapping "I Agree," or using Maylay, you acknowledge that:

• You have read these Terms.

• You fully understand their terms.

• You are voluntarily giving up substantial legal rights.

• You agree to be legally bound by them.

31. SMS and Text Messaging

If you provide a mobile number, Maylay sends one-time verification codes by SMS to confirm that the number belongs to you. Codes are sent when you create an account with a phone number, add or change your number, or reset your password. A message is sent only in direct response to a request you make in the App.

Maylay does not send marketing or promotional text messages. Message frequency depends on your activity; most accounts receive a single message. Message and data rates may apply.

Mobile information will not be shared with or sold to third parties or affiliates for marketing or promotional purposes.

Reply STOP to any message to stop receiving texts, START to resume, or HELP for assistance. You may also remove your number in the App under Settings > Phone & Email, or contact support@maylay.org.

32. In-App Messaging and Chat

The Service includes in-app messaging: direct messages between Users, group chats, and chats attached to games, teams, and tournaments. In-app messages are separate from the SMS verification codes described in Section 31 — they are delivered inside the App over your internet connection, and your mobile carrier does not bill you for them beyond normal data usage.

How messages are handled. Messages, attachments, reactions, and polls you send are transmitted over encrypted connections and stored on our infrastructure so that participants can read them across devices. In-app messages are NOT end-to-end encrypted. Maylay does not read private conversations in the ordinary course of business, but we may access message content where reasonably necessary to investigate a report of abuse, enforce these Terms, protect the security of the Service, resolve a technical problem, or comply with a legal obligation.

No confidentiality from recipients. Anyone you message can save, screenshot, copy, or forward what you send, and we cannot prevent that. Do not send anything through the Service that you would not want shared, including passwords, financial account details, government identification numbers, or medical information.

Messaging conduct. Section 5 applies in full to everything you send in a chat. In addition, you agree not to:

• Send unsolicited commercial messages, bulk messages, spam, chain messages, or referral, investment, or cryptocurrency solicitations.

• Send sexually explicit, harassing, threatening, hateful, or discriminatory messages, or keep contacting a User after they have asked you to stop or have blocked you.

• Use messaging to arrange any unlawful, violent, or sexual activity, or to contact anyone you know or suspect to be under 18.

• Share another User's private information — including their phone number, address, exact location, photos, or messages — outside the conversation without their consent.

• Use bots, scripts, or automated tools to send messages, or to scrape, export, or archive conversations.

• Impersonate another person or misrepresent your identity, age, or affiliation in a conversation.

Your controls. You may block any User, which stops them from sending you direct messages; leave or delete any conversation; delete messages you have sent; and mute or disable message notifications in the App or your device settings. To report a message or a User, block them and email support@maylay.org with the details. We review reports and may warn, suspend, or permanently terminate accounts.

Group chats. Everything sent in a group chat is visible to every member of that group. A member added later can read the conversation from the point they were added forward. Chat creators and administrators may rename a chat and add or remove members; if you leave or are removed, you lose access to that conversation, and messages you already sent remain visible to the remaining members.

Automatic translation. If a message is written in a language other than the one you have selected in the App, the message text may be sent to our third-party machine-translation provider (DeepL SE) so that a translation can be shown to you. Translations are automated, may be inaccurate or incomplete, and are provided for convenience only — the original message is always what was sent.

Moderation and removal. Consistent with Section 13, we have no obligation to monitor conversations, but we reserve the right to remove messages, disable a chat, or suspend accounts at our discretion. Message content is User Content under Section 14. If you delete your account, messages you sent remain in the recipients' threads stripped of your identifying information, as described in Section 14 and our Privacy Policy.

Availability. Message delivery depends on your device, your network, and third-party services. We do not guarantee that any message will be delivered, delivered on time, or retained indefinitely.
